Terms & Conditions

Last Updated: February 21, 2026

These Terms & Conditions ("Terms") govern your access to and use of SupplyLink Marketplace (supplylinkmarketplace.com), a B2B wholesale platform connecting buyers and vendors. By accessing or using the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms form a legally binding agreement between you ("User," "you") and SupplyLink Marketplace ("we," "us," or "our"). If you do not agree, do not use the platform.

We may update these Terms at any time. Continued use after changes constitutes acceptance.

2. Eligibility & Accounts

  • You must be at least 18 years old and capable of forming binding contracts.
  • Accounts are for businesses only (B2B). Personal use is prohibited.
  • You are responsible for maintaining account security and all activity under your account.
  • We reserve the right to suspend or terminate accounts for violations, fraud, or inactivity.

3. Platform Use & Vendor Obligations

  • Vendors must provide accurate listings, comply with all laws (FDA/USDA for food, etc.), and fulfill orders promptly.
  • Buyers must provide accurate information and pay for orders as agreed.
  • Prohibited activities: fraud, counterfeit goods, spam, harassment, off-platform transactions, or violating third-party rights.
  • We act as a facilitator only—no ownership of goods, no warranty on vendor performance.

4. Payments & Fees

  • All payments processed via Stripe (cards, ACH). Currently, no platform fees are charged to buyers or vendors.
  • 7-day payment hold applies for inspection and dispute protection.
  • Buyers are responsible for all taxes, duties, and fees.
  • Vendors receive funds after hold period, subject to valid claims.

5. Intellectual Property

All content on the platform (logos, text, images) is owned by us or our licensors. You may not copy, modify, or use without permission.

Vendors grant us a license to display their listings and use submitted materials for platform purposes.

6. Limitation of Liability

The platform is provided "as is." We are not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption.

Our total liability to you, whether in contract, tort, or otherwise, shall not exceed $1,000 USD.

This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.

7. Dispute Resolution & Governing Law

  • These Terms are governed by Nevada law, without regard to conflict of laws.
  • Any disputes shall be resolved through binding arbitration in Las Vegas, Nevada (AAA rules), except for small claims or injunctive relief.
  • No class actions permitted.

8. Termination

We may terminate or suspend access at any time for violations, legal requirements, or at our discretion. Sections that by nature survive termination (liability, IP, disputes) remain in effect.
